Terms of Service

These Terms of Service (“Terms”) govern access to and use of BayOps, the automotive repair and body shop management software and related services (the “Service”) offered by JAAMM TECH Inc. (“JAAMM TECH”, “we”, “us”). By signing in or using the Service, you agree to these Terms on behalf of yourself and, if you use the Service in a business capacity, the organization that provisioned your account (“Tenant”). If you do not agree, do not use the Service.

These Terms are drafted for general use alongside your separate order, subscription, or services agreement with JAAMM TECH; where they conflict, the signed agreement prevails for enterprise customers.

1. The Service

BayOps provides tools for tenants to manage customers, vehicles, quotes, invoices, parts, documents (including optional OCR), reporting, and related operations. Features depend on configuration, feature flags, and integrations (e.g. identity provider, storage, email). We may modify or discontinue features with reasonable notice where practicable.

2. Accounts and eligibility

  • Access requires an account provisioned in BayOps and valid credentials from the configured identity provider (e.g. Keycloak).
  • You must provide accurate information and safeguard your passwords, devices, and second factors.
  • You must not share credentials or attempt to access other tenants’ data.
  • We may suspend or terminate access for breach, security risk, non-payment (per agreement), or legal requirement.

3. Tenant data and privacy

Tenants instruct us to process personal information and business data they and their users submit. Each tenant is responsible for the legality of its collection and use of end-customer data, for obtaining consents, and for compliance with laws applicable to their business (including PIPEDA/CASL and provincial obligations). Our privacy practices are described in the Privacy Policy.

4. Acceptable use

You must not:

  • Violate law or infringe others’ rights.
  • Probe, scan, or test the vulnerability of the Service without authorization; interfere with or overload systems.
  • Introduce malware or attempt unauthorized access to accounts, data, or networks.
  • Reverse engineer or circumvent technical limits except where law forbids such a restriction.
  • Use the Service to send unlawful, harassing, or misleading commercial messages.

5. Intellectual property

The Service, including software, branding, and documentation, is owned by JAAMM TECH or its licensors. We grant you a non-exclusive, non-transferable right to use the Service during your authorized access term. Tenant data remains yours; you grant us a licence to host, process, and display it as needed to provide the Service.

6. Third-party services

The Service relies on third-party infrastructure and integrations (e.g. OIDC IdP, database, storage, SMTP, OCR). Their terms and privacy policies may apply; we are not responsible for third-party services outside our reasonable control.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN ONTARIO AND CANADA.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAAMM TECH AND ITS SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO JAAMM TECH FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100) IF NO FEES APPLY, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT ALLOWED.

9. Indemnity

You will defend and indemnify JAAMM TECH against claims arising from your use of the Service, tenant data, or violation of these Terms, except to the extent caused by our wilful misconduct.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You attorn to the courts of Ontario, subject to non-exclusive jurisdiction.

11. Changes

We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes may be communicated as described in your subscription agreement. Continued use after the effective date may constitute acceptance.
